ATTENDEE TERMS & CONDITIONS v1.2

New Earth Frequency Ltd, a company incorporated in Scotland under company number SC853723, with its registered office at 166 Buchanan Street, Glasgow, G1 2LW, Scotland, United Kingdom (“NEF”, “we”, “us”, “our”).
These Terms and Conditions (the “Terms”) govern: (i) the purchase of any ticket, pass, registration, or access right; and (ii) attendance, participation, and conduct in connection with any event organised, hosted, promoted, or delivered by NEF, whether in person, online, or in a hybrid format, including but not limited to retreats, workshops, conferences, festivals, activations, ceremonies, classes, trainings, and any related pre-event or post-event activities (each an “Event”, together “Events”).
By purchasing a ticket, registering, accessing any Online Platform, or attending an Event, you (“Attendee”, “you”, “your”) confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not purchase a ticket, register, or attend.
1. DEFINITIONS & INTERPRETATION
1.1 “Event” includes any NEF-run or NEF-hosted in-person, virtual, or hybrid gathering, including associated sessions, group activities, social time, ceremonies, workshops, and any ancillary services or experiences (including those delivered by Facilitators). NEF may run Events in different countries and venues, and these Terms are designed to apply across all such formats and locations.
1.2 “Ticket” means any ticket, pass, booking confirmation, registration, subscription access, or other right of entry or participation (whether paid or complimentary). A Ticket is a revocable licence to attend an Event and does not create any ownership right.
1.3 “Online Platform” means any streaming, conferencing, community, membership, learning, chat, or content delivery system used in connection with an Event (including third-party platforms).
1.4 “Facilitators” means any person delivering content or experiences at an Event, including guest speakers, teachers, guides, performers, practitioners, contractors, partners, and volunteers (whether engaged by NEF or not).
1.5 Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa.
2. CONTRACT FORMATION & SCOPE OF THESE TERMS
2.1 A legally binding contract is formed between you and NEF when: (a) you place an order for a Ticket; and (b) NEF issues an order confirmation or otherwise confirms your registration after receiving cleared payment (or confirming complimentary entry).
2.2 These Terms apply to all aspects of your relationship with NEF in connection with an Event, including (without limitation) ticketing, admission, participation, communications, safety, travel, accommodation, and use of Online Platforms.
2.3 If you purchase through a third-party ticketing or payment provider, their terms may also apply to the transaction. However, as between you and NEF, these Terms govern your attendance and participation, and will take precedence to the maximum extent permitted by law.
2.4 If an Event takes place in a jurisdiction that imposes mandatory local consumer or safety rules, those rules may apply in addition to these Terms. Nothing in these Terms is intended to remove any non-excludable statutory rights you may have.
3. TICKETS, PRICING, PAYMENT & ORDER CONTROLS
3.1 Ticket validity and admission. Tickets are valid only for the specific Event, date(s), and ticket category described at purchase. NEF may require the named Attendee to present identification, order confirmation, and/or proof of eligibility (e.g., for discounted tickets). Failure to provide reasonable proof may result in refusal of entry without refund.
3.2 Payment and fees. Tickets must be paid in full before access is granted, unless NEF expressly agrees otherwise in writing. Any transaction fees, currency conversion costs, or third-party charges are your responsibility unless NEF states otherwise.
3.3 Pricing errors. While NEF takes care to ensure pricing is accurate, obvious pricing or listing errors may occur. If this happens, NEF may cancel affected orders and refund amounts paid. NEF is not obliged to honour an erroneous price where the error is clear and reasonably apparent.
3.4 Promotions and discounts. Discount codes and promotions are offered at NEF’s discretion, may be time-limited, and may be withdrawn. Unless NEF explicitly states otherwise, discounts cannot be applied retrospectively after purchase.
3.5 Right to refuse orders. NEF may refuse or cancel an order where: (a) payment is reversed or suspected to be fraudulent; (b) Tickets appear to have been purchased for resale; (c) you have previously breached NEF policies; or (d) NEF reasonably believes the purchase or attendance creates safety, legal, or operational risk.
4. CANCELLATION BY ATTENDEE, NO REFUNDS & NO RIGHT TO CANCEL
4.1 Final sale policy. All Ticket purchases are final. To the maximum extent permitted by law, Tickets are non-refundable and non-cancellable once purchased. This applies regardless of the reason you cannot attend, including (without limitation): illness, injury, bereavement, personal circumstances, travel disruption, visa issues, weather, work conflicts, change of mind, or dissatisfaction with any aspect of an Event.
4.2 No statutory cooling-off period for event tickets. Where Tickets are sold online or at a distance, you acknowledge that Events are provided on a specific date or over a specific time period. In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the statutory 14-day cancellation (cooling-off) right does not apply to the purchase of Tickets for Events scheduled on a specific date or time.
4.3 Express acknowledgement. By purchasing a Ticket, you expressly acknowledge and agree that: (a) you are purchasing a time-specific Event access right; (b) you do not have a right to cancel after purchase; and (c) you will not be entitled to a refund, credit, or transfer except as expressly permitted by NEF in these Terms or required by law.
4.4 No chargeback misuse. You agree not to initiate a chargeback or payment dispute in order to circumvent this no-refund policy. If you initiate a chargeback contrary to these Terms, NEF reserves the right to provide the payment processor with evidence of your purchase, acceptance of these Terms, attendance logs, and delivery records, and to pursue recovery of any costs, fees, and losses incurred by NEF as a result of an improper chargeback.
4.5 Insurance recommendation. NEF strongly recommends that you obtain comprehensive travel and event insurance that covers your personal circumstances, including inability to attend, travel disruption, and medical issues. Any decision not to obtain insurance is solely yours.
5. TRANSFERS, NAME CHANGES & RESALE RESTRICTIONS
5.1 Tickets are personal. Tickets are issued to a named Attendee and may not be shared or used by another person without NEF’s consent.
5.2 Transfer by permission only. NEF may, at its sole discretion, permit you to transfer a Ticket to another individual if: (a) you notify NEF in writing at least seven (7) calendar days before the Event start date (or such other time NEF specifies for a particular Event); (b) the recipient agrees to these Terms; and (c) any required administrative steps are completed. NEF may refuse transfer requests where operationally impractical or where the Event has safety, eligibility, or capacity constraints.
5.3 No resale or profiteering. Tickets must not be resold, auctioned, transferred for profit, used in competitions, bundled with accommodation, or used for marketing or promotional purposes without NEF’s prior written consent.
5.4 Void tickets. Tickets purchased or transferred in breach of this section may be voided without refund, and the holder may be refused entry.
6. EVENT DELIVERY, CHANGES, POSTPONEMENT & CANCELLATION BY NEF
6.1 Reasonable changes. NEF will use reasonable endeavours to deliver Events substantially as described; however, you acknowledge that Events are dynamic. NEF reserves the right to make changes at any time to: programme content, schedule, session timing, Facilitators, speakers, music/AV, activities, venue layout, Event rules, and/or Online Platforms, where NEF reasonably considers such changes necessary or desirable.
6.2 Format changes. NEF may convert an Event between in-person, online, and hybrid formats where needed due to safety, venue changes, legal restrictions, travel disruption, or operational constraints. Where an Event is moved online or to a different venue, NEF will aim to provide reasonable notice where practicable.
6.3 No compensation for changes. Changes permitted under this clause do not entitle you to compensation, refund, or reimbursement, except where required by law.
6.4 Cancellation by NEF. If NEF cancels an Event and does not offer a rescheduled date or replacement Event, your sole remedy will be a refund of the Ticket price you paid to NEF for that Event (excluding third-party fees not received by NEF, currency conversion charges, or bank fees). NEF will not be responsible for other costs you may incur, such as travel, accommodation, meals, visas, loss of earnings, or other arrangements.
6.5 Rescheduling. If NEF reschedules an Event, NEF may (at its discretion) treat your Ticket as valid for the rescheduled date or offer an alternative remedy (such as transfer to a comparable Event). If you cannot attend the rescheduled date, NEF may (but is not obliged to) offer a discretionary transfer to another person or Event.
7. ADMISSION, SAFETY, SECURITY & ON-SITE RULES
7.1 Entry conditions. NEF may refuse entry or remove an Attendee where NEF reasonably believes this is necessary for safety, security, legal compliance, or the integrity of the Event experience.
7.2 Searches and prohibited items. Where appropriate, NEF and/or venue security may conduct reasonable bag checks or security screening consistent with venue policy and local law. Weapons, illegal substances, and any items that pose safety risk may be prohibited. NEF may remove prohibited items and/or refuse entry.
7.3 Venue rules. You must comply with all venue rules, staff instructions, fire and safety procedures, and capacity restrictions. You must not enter restricted areas or interfere with equipment, staff, or operations.
7.4 Assumption of responsibility for belongings. You are responsible for your personal property at all times. NEF is not liable for loss, theft, or damage to your belongings, except where caused by NEF’s proven negligence.
8. ATTENDEE CONDUCT, CONSENT & COMMUNITY STANDARDS
8.1 Respect and lawful conduct. You must behave respectfully, safely, and lawfully at all times, including in digital spaces. You must not engage in harassment, discrimination, intimidation, bullying, or disruptive behaviour.
8.2 Consent and boundaries. Many Events involve group interaction and may include movement, partner exercises, or (where clearly stated) optional touch-based practices. You agree that consent must be explicit, informed, and ongoing, and you are responsible for ensuring that any interaction you initiate is consensual. Consent may be withdrawn at any time.
8.3 Zero tolerance. NEF has a zero-tolerance approach to: coercion, unwanted sexual attention, boundary violations, predatory behaviour, stalking, filming others without consent, and any conduct that undermines safety. NEF may remove you immediately without refund and may notify venue security or authorities where appropriate.
8.4 Online behaviour. The same standards apply online. NEF may remove you from online sessions, chats, or forums and revoke future access if you are abusive, disruptive, or breach confidentiality or intellectual property rules.
8.5 Removal and consequences. If you are removed for breach of these Terms, you are not entitled to any refund, and NEF may ban you from future Events.
9. VOLUNTARY PARTICIPATION, HEALTH & ASSUMPTION OF RISK
9.1 Voluntary participation. Participation is always voluntary. You may decline any activity, exercise, or session, and you may step out or withdraw at any time without explanation. You are responsible for making choices that are appropriate for your physical and emotional wellbeing.
9.2 Nature of activities. Events may include physical movement, breathwork, exposure to heat/cold, loud music, prolonged standing/sitting, emotional exploration, and group processes. Some activities may be intense and may not be suitable for everyone.
9.3 Health responsibility. You confirm that you are responsible for assessing your own health and suitability to participate, and for seeking professional medical advice where needed. You must disclose to NEF in advance any relevant medical, psychological, or physical conditions that may affect your safety or the safety of others, where it is reasonably necessary for Event delivery and risk management.
9.4 No supervision duty. Unless expressly stated, NEF does not provide clinical supervision, medical care, or mental health services. NEF staff and Facilitators may provide general guidance, but you remain responsible for your own limits and wellbeing.
9.5 Emergency situations. If an emergency arises, you authorise NEF to take reasonable steps to obtain medical or emergency assistance for you. You acknowledge that you remain responsible for costs associated with any medical attention, transport, or treatment.
10. NO MEDICAL, PSYCHOLOGICAL OR THERAPEUTIC ADVICE
10.1 Not healthcare. NEF Events are not medical, psychological, psychiatric, or therapeutic treatment, and are not a substitute for professional healthcare services.
10.2 No diagnosis or treatment. Nothing delivered at an Event (including by Facilitators) constitutes medical advice, diagnosis, or treatment, even where sessions discuss wellbeing, somatics, trauma, nervous system regulation, spiritual practice, biohacking, or personal development.
10.3 Facilitator status. Facilitators are not acting as your healthcare provider unless explicitly agreed in writing. You are responsible for choosing whether to participate and for consulting qualified professionals where appropriate.
11. SUBSTANCES, ALCOHOL & LEGAL COMPLIANCE
11.1 No illegal substances. NEF does not provide, administer, endorse, or encourage illegal substances. You must comply with all applicable laws and venue rules relating to drugs, alcohol, and controlled substances.
11.2 Safety-first discretion. NEF reserves the right to refuse entry or remove any Attendee who appears intoxicated, impaired, or otherwise unable to participate safely or respectfully, including where NEF reasonably believes there is risk to you or others.
11.3 Personal responsibility. Any personal choices you make in relation to substances are entirely your responsibility. NEF accepts no liability for harm arising from an Attendee’s substance use or impairment, except to the extent caused by NEF’s proven negligence.
12. ONLINE PARTICIPATION & DIGITAL ACCESS
12.1 Technical responsibility. You are responsible for ensuring you have compatible devices, software, and internet connection. NEF is not responsible for your inability to access an online Event due to your equipment, connection, or local restrictions.
12.2 Platform disruption. NEF is not liable for interruptions caused by third-party platform outages, cyber incidents, or service failures. NEF will use reasonable efforts to restore access or provide alternative delivery where appropriate, but uninterrupted service is not guaranteed.
12.3 Access is personal. Login links and access credentials are personal and must not be shared, sold, or distributed. NEF may revoke access without refund if you breach this clause.
12.4 No recording by Attendees. You must not record, screen-capture, reproduce, broadcast, or distribute any part of an online or hybrid Event without NEF’s prior written consent.
13. INTELLECTUAL PROPERTY, CONFIDENTIALITY & CONTENT USE
13.1 NEF materials. All Event content, materials, recordings, slides, documents, brand assets, trademarks, logos, and designs are owned by NEF or its licensors. Nothing in these Terms grants you any ownership rights.
13.2 Permitted personal use. Where NEF provides materials, you may use them for your personal, non-commercial use only. You must not copy, modify, resell, sublicense, or distribute materials without written permission.
13.3 Community confidentiality. You acknowledge that Events may include personal sharing by other Attendees. You agree to treat personal information shared by others as confidential and not to disclose it outside the Event, including on social media, without explicit permission.
13.4 Enforcement. NEF may remove you from an Event, revoke access, or take legal action for material breaches of intellectual property or confidentiality.
14. PHOTOGRAPHY, FILMING & MEDIA RELEASE
14.1 NEF recording. NEF may photograph, film, or audio-record Events for marketing, educational, archival, and commercial purposes. This may include crowd shots, session footage, and behind-the-scenes content.
14.2 Licence to use your likeness. By attending, you grant NEF a perpetual, irrevocable, worldwide, royalty-free licence to use your name, likeness, image, and voice captured at the Event in any media now known or later developed, for NEF’s business purposes. You waive any right to inspect or approve final materials and waive any right to compensation.
14.3 Opt-out procedure. If you do not wish to be filmed or photographed, you must notify NEF in writing prior to the Event and comply with any reasonable on-site opt-out procedures (for example, wearing an opt-out wristband, avoiding designated filming zones, or sitting in clearly marked areas). While NEF will take reasonable steps to honour opt-outs, you acknowledge that incidental capture (e.g., background footage) may occur, particularly in group settings.
14.4 Attendee filming restrictions. You must not film or photograph other Attendees in a way that violates privacy, consent, or venue rules. NEF may require deletion of unauthorised recordings and may remove you for breach.
15. THIRD-PARTY SERVICES, VENUES, ACCOMMODATION & TRAVEL
15.1 Third-party suppliers. Events may involve venues, accommodation partners, caterers, transport providers, and Facilitators who are not NEF employees. NEF is not responsible for the acts or omissions of independent third parties, except where NEF is legally responsible.
15.2 Accommodation and travel. Unless NEF expressly includes accommodation or travel in your Ticket purchase in writing, you are responsible for booking and paying for your own travel and accommodation and for ensuring you meet any visa, passport, vaccination, or entry requirements.
15.3 Local conditions. You are responsible for understanding local conditions, weather, safety, and cultural expectations at the Event location, and for behaving lawfully.
16. LIMITATION OF LIABILITY
16.1 Non-excludable liability. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded by law.
16.2 General limitation. Subject to clause 16.1, NEF’s total aggregate liability to you arising out of or in connection with an Event (whether in contract, tort, negligence, or otherwise) will not exceed the Ticket price you paid to NEF for the relevant Event.
16.3 Excluded losses. Subject to clause 16.1, NEF will not be liable for: (a) indirect or consequential losses; (b) loss of profit, business, goodwill, or opportunity; (c) travel, accommodation, visa, or related costs; (d) loss or damage to personal property; or (e) losses arising from your inability to attend or participate due to your personal circumstances.
16.4 Assumption of risk. You acknowledge that you attend and participate voluntarily and assume the inherent risks of group events and the specific activities offered, except where caused by NEF’s proven negligence.
17. INDEMNITY
17.1 You agree to indemnify, defend, and hold harmless NEF and its directors, officers, employees, contractors, Facilitators, agents, and partners against all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your conduct at or in connection with an Event (including online conduct); or (c) your unauthorised copying, recording, or distribution of Event content.
18. FORCE MAJEURE
18.1 NEF will not be liable for any delay, alteration, postponement, or cancellation caused by circumstances beyond NEF’s reasonable control, including natural disasters, extreme weather, pandemics, epidemics, civil unrest, war, terrorism, government restrictions, changes in law, venue or supplier failure, strikes, or internet/communications failures.
18.2 In a force majeure scenario, NEF may (at its discretion) postpone, reschedule, move the Event online, change venues, or modify programming in order to proceed safely and lawfully.
19. DATA PROTECTION & PRIVACY
19.1 NEF will process personal data in accordance with the UK GDPR and the Data Protection Act 2018, and in line with NEF’s Privacy Policy (where published).
19.2 NEF typically collects and uses personal data for Event administration, attendee communications, operational planning, safety, ticket verification, and (where consented or otherwise permitted by law) marketing communications.
19.3 NEF may share your personal data with third-party service providers where necessary for Event delivery (for example: ticketing platforms, email providers, venue security, or Online Platform providers), and will take reasonable steps to ensure appropriate safeguards.
19.4 You may request access, correction, or deletion of your personal data by contacting: [insert contact email].
20. ACCESSIBILITY & SPECIAL REQUIREMENTS
20.1 NEF aims to create welcoming Events; however, due to venue layouts, terrain, schedule intensity, or activity design, not all Events may be suitable for all individuals.
20.2 If you have accessibility needs or special requirements, you should contact NEF as early as possible before the Event. NEF will consider reasonable requests but cannot guarantee that all requests can be accommodated.
21. AGE REQUIREMENTS
21.1 Unless expressly stated otherwise for a specific Event, Events are intended for individuals aged 18 years or over.
21.2 NEF may request proof of age. Any Attendee unable to provide proof may be refused entry without refund.
22. COMPLAINTS, QUESTIONS & CONTACT
22.1 If you have questions, concerns, or complaints about an Event, NEF encourages you to raise them promptly and respectfully with NEF staff during the Event where practical, so issues may be addressed in real time.
22.2 Formal complaints may be submitted in writing to: [insert contact email]. NEF will aim to respond within a reasonable time.
23. GOVERNING LAW & JURISDICTION
23.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of Scotland.
23.2 The Scottish courts shall have exclusive jurisdiction, except that NEF may take legal action in other jurisdictions where necessary for enforcement or to comply with local laws applicable to an Event location.
24. GENERAL LEGAL TERMS
24.1 Severability. If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
24.2 No waiver. Failure by NEF to enforce any right or provision does not constitute a waiver of that right or provision.
24.3 Entire agreement. These Terms constitute the entire agreement between you and NEF regarding Event attendance and supersede all prior discussions, representations, and understandings (whether oral or written) relating to the Event.
24.4 Changes to Terms. NEF may update these Terms from time to time. The version in force at the time of your purchase will apply to that purchase and Event, unless an update is required by law or is clearly beneficial to Attendees and does not materially reduce your rights.
24.5 Survival. Clauses relating to intellectual property, confidentiality, media release, limitation of liability, indemnity, governing law, and data protection survive completion or termination of the Event.
